"A Manhattan town house that served for many years as the law office of Roy M. Cohn has been sold for $3.7 million, with most of the money being held under court order pending the outcome of an income-tax case against the late lawyer. The house, at 39 East 68th Street, was sold Thursday to the Chestwell Properties Corporation, according to the United States Attorney's office in Manhattan, which contended in a 1986 lawsuit that Mr. Cohn owed nearly $7 million in Federal income taxes, interest and penalties.

Mr. Cohn was counsel to the law firm of Saxe Bacon & Bolan in the town house. The old firm is being phased out, according to Thomas A. Bolan, who said yesterday that he has formed a new firm of Bolan, Lang, Biancone & Tiffenberg at 645 Madison Avenue. As one of the nation's most celebrated and controversial lawyers, Mr. Cohn represented many prominent clients as well as some notorious gangsters. He served as chief counsel in the Senate investigations headed by Joseph R. McCarthy in the 1950's.

In the last months of his life, Mr. Cohn was disbarred in New York State on charges of unethical conduct, which he vehemently denied. He died Aug. 2, 1986, at the age of 59. The tax suit, which the Government filed a few months before he died, stemmed from a long dispute with the Internal Revenue Service. When the suit was filed, Mr. Cohn called it ''a continuation of their thoroughly incompetent handling of this matter.'' The case is pending before Judge Charles S. Haight Jr. in Federal District Court in Manhattan. A key dispute in the case is whether the East 68th Street town house was owned by Mr. Cohn, as the Government contended, or by a Saxe Bacon subsidiary. Government lawyers are seeking to collect the income taxes, which they said Mr. Cohn owed, from his estate and from Saxe Bacon assets that they said had belonged to Mr. Cohn."

"The circumstances of what may be Roy Cohn's last days, however, are certainly pathetic. Once a brazen bon vivant, he lives in a kind of medicated twilight in a small stone cottage deep in the Greenwich, Conn, woods. The house, the car in the yard, his Manhattan town house all belong to a complex of corporations, keeping the IRS (to whom he owes $7 million in back taxes, interest and penalties) at bay. He lives on an expense account from his law firm—Saxe, Bacon & Bolan. (One of the partners is Stanley Friedman, the Bronx County Democratic chairman under federal indictment for bribery.) Cohn's economic status has become as visibly fragile as his health."
